Acceptance of these Terms

The website is addressed to business users acting in the course of a trade or profession; it is not directed at consumers or at children.
Our services
We provide agroconsulting, agrotrading and AgriTech services. The descriptions of those services on this website are general and indicative. The actual scope of work, deliverables, specifications, quantities, prices, timelines, payment terms and allocation of liability for any engagement are agreed individually and recorded in a separate written contract between you and us. Where anything on this website conflicts with a signed contract, the signed contract prevails. We may decline to enter into any engagement, and we may change or discontinue any part of this website, at our discretion.
This website is not an offer
Nothing on this website is an offer capable of acceptance, and nothing on it creates a binding contract. Product descriptions, specifications, origins, volumes, delivery bases and any prices or price indications shown here are for information only and are subject to confirmation, availability and change without notice. A binding agreement arises only when you and we sign a written contract or exchange a written confirmation that expressly states that it is binding. Submitting a form on this website is a request for information: it does not place an order and it does not oblige either of us to contract.
Supply, delivery and Incoterms
Where we agree to sell or to arrange the supply of agricultural commodities, the whole commercial and legal relationship — quality and specification, quantity tolerance, inspection and sampling, passing of title and risk, shipment period, documents, payment, demurrage, claims and dispute resolution — is governed by the individual sale contract and not by this website. Delivery bases mentioned on the site, such as FOB, CFR, CIF and DAP, refer to the Incoterms® rules; the edition of the Incoterms® rules that applies is the one identified in the relevant contract. In case of any inconsistency between this website and a sale contract, the sale contract governs. Incoterms is a trade mark of the International Chamber of Commerce.
Market analytics: information only, not advice
We publish market commentary, price spreads, balance forecasts and similar analytical material on agricultural commodity markets. All of it is provided for general information only, rests on sources and assumptions we consider reasonable at the time of publication, and may become out of date without notice. It does not constitute investment advice, a recommendation, an inducement, or an offer or solicitation to buy or sell any commodity, derivative, security or other financial product, and it must not be relied upon as a substitute for professional advice. Commodity markets are volatile and past performance is not a guide to future performance. Any decision you take on the basis of our published analysis is your own, and you should obtain independent professional advice before acting on it.

Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, contracts, anticipated savings, goodwill or data, arising out of or in connection with this website or the information on it, whether in contract, in tort (including negligence), for breach of statutory duty or otherwise, and whether or not the loss was foreseeable. Our total aggregate liability in connection with this website and its content is limited to [LIABILITY_CAP]. Our liability under any services or supply contract is governed exclusively by that contract. Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded, including under the Control of Exemption Clauses Ordinance (Cap. 71) of Hong Kong.
Intellectual property
All content on this website — text, analytical material, graphics, photographs, logos, trade marks, page layout, design and software — is owned by us or used by us under licence, and is protected by the Copyright Ordinance (Cap. 528), the Trade Marks Ordinance (Cap. 559) and other applicable laws. You may view the site and print or download extracts for your own internal business use. You may not otherwise copy, republish, distribute, sell, adapt or create derivative works from the content, nor use our name or logo, without our prior written permission. Ownership of deliverables produced for you under a services contract is determined by that contract.
Acceptable use
You agree not to use this website in any way that is unlawful, or that could damage, disable or impair it, or interfere with anyone else’s use of it. In particular you must not attempt to gain unauthorised access to the site, its server or any connected system; introduce malicious code; use automated means to scrape, harvest or systematically extract content or contact details; use the contact forms to transmit unsolicited advertising, misleading information or anything unlawful; or misrepresent your identity or your authority to act for another person.
Confidentiality
We treat the information you give us in the course of an enquiry or an engagement as confidential, and we do not disclose it to third parties without your consent, save to those advisers and service providers who need it in order to act for us, or where disclosure is required by law or by a competent authority. Personal data is additionally handled as described in our Privacy Policy. The confidentiality obligations that apply to a particular engagement are set out in the relevant contract or non-disclosure agreement.
Trade compliance
Each of us must comply with all applicable laws on export control, trade sanctions, anti-money laundering and anti-bribery in every jurisdiction relevant to a transaction. We may carry out counterparty and beneficial ownership checks before entering into or continuing an engagement, and we may decline, suspend or terminate an engagement where, in our reasonable view, proceeding would breach those laws or expose us to sanctions risk. You confirm that the information you give us for those checks is accurate and complete.
Force majeure
We are not liable for any failure or delay in making this website available, or in performing any obligation, that is caused by an event beyond our reasonable control. Such events include natural disasters, severe weather and typhoon or black rainstorm warnings, fire, flood, epidemic or pandemic and the public health measures taken in response, war, terrorism, civil unrest, strikes and labour disputes, crop failure, closure of ports or transport routes, embargo or the act of any government or authority, failure of utilities, and failure or interruption of telecommunications, hosting or internet services. Force majeure under a services or supply contract is governed by that contract.
Changes to these Terms
We may amend these Terms at any time. The amended version takes effect when it is published on this page, and the effective date shown at the top of the page indicates when it was last changed. Your continued use of the website after publication means that you accept the amended Terms. The version that applies to a particular use of the website is the version in force at the time of that use.
Governing law and jurisdiction
These Terms, and any non-contractual obligation arising out of or in connection with them or with this website, are governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China. You and we submit to the non-exclusive jurisdiction of the courts of Hong Kong in respect of any dispute arising out of or in connection with these Terms or this website. Disputes arising under a services or supply contract are resolved as that contract provides, which may include arbitration. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any of them. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.
